This is a working draft. Pinna's commercial and legal terms are not yet finalized; pricing, plan structure, and some specific figures below are placeholders and may change before launch. Nothing here should be read as a final commitment.

These Terms of Service ("Terms") govern your use of Pinna, operated by S2 Tikshuv Ltd ("Company", "we", "us"), a company registered in Israel.

By accessing or using Pinna, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Services

Pinna is a speaker-diarization and transcription service. You submit audio recordings and Pinna returns speaker-labeled, time-aligned transcripts. Audio may be submitted by web upload, by email (to your account's ingress address), or via the API. Supported languages are Hebrew, Arabic, English, and Russian.

2. Your Content and Responsibility

You retain ownership of the audio you submit and the transcripts produced from it. You grant us the limited right to process your audio for the purpose of providing the Services (diarization and transcription) and as described in our Privacy Policy.

You are responsible for the audio you submit. You represent and warrant that you have the necessary rights, permissions, and lawful basis (including any required notices to or consents from the people recorded) to submit each recording for processing, and that doing so does not violate any law or the rights of others. Laws on recording and processing conversations vary by jurisdiction; ensuring your use is lawful is your responsibility.

3. Accounts and Access

The Pinna application requires an account. You are responsible for maintaining the security of your account credentials and API keys, and for all activity under your account. Email submission is accepted only from addresses you place on your account's allowlist; keep that allowlist accurate.

You must provide accurate information when creating an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Plans and Payment

Pinna's plan structure and pricing are not yet finalized. If and when paid plans are offered, the applicable prices and limits will be published, and paid transactions are expected to be processed by a third-party Merchant of Record (for example, Paddle) which would act as the seller and handle billing, invoicing, sales tax, and payment processing. Any paid-plan terms (renewal, cancellation, refunds) will be stated at that time.

6. Intellectual Property

All rights in the Pinna service, software, and documentation remain with S2 Tikshuv Ltd. These Terms do not grant you rights to our trademarks, branding, or proprietary technology beyond the right to use the Services as described. Transcripts generated from your own audio belong to you; we claim no ownership of your content.

7. Privacy and Data

Your use of Pinna is also governed by our Privacy Policy, which describes how we collect, use, and handle data, including the audio you submit and the transcripts produced from it, and our retention practices.

8. Service Availability and Updates

Pinna is a hosted service and may be updated at any time. We will make reasonable efforts to maintain compatibility but may modify, deprecate, or remove features. We do not guarantee that the Services will be uninterrupted or error-free.

9. Early Access

Pinna is provided as an early-access service. Features, operational limits, and (once introduced) pricing may change as the service evolves. Early-access services carry inherent risks including potential instability and incomplete features. By using Pinna you acknowledge and accept these risks.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that diarization or transcription output will be accurate or complete for all recordings, audio quality, accents, or languages. You are responsible for reviewing output before relying on it.

11. Limitation of Liability

To the maximum extent permitted by applicable law, S2 Tikshuv Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Services.

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded under applicable law, including statutory data protection rights.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will post a notice on this website and, for account holders, notify by email before the changes take effect. Continued use after that date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Israel, without regard to conflict of law provisions. Any disputes shall be resolved in the competent courts of Haifa, Israel.
